Terms of Service

1. Who we are

Quantumine is a proprietary trading firm. We research markets, build our own technology and trade our own capital.

2. About these Terms

These Terms of Service (the "Terms") are an agreement between you and Quantumine ("Quantumine", "we", "us"). They cover the Quantumine desktop app, the Quantumine web app, the account pages at quantumine.net, and the related services we provide (together, the "Service").

You accept these Terms when you create an account or use the Service. If you do not agree, do not use the Service.

Our Privacy Policy explains how we handle personal data.

3. Changes to these Terms

We may change these Terms. We will tell you about a material change at least 15 days before it takes effect, by email or in the Service.

If you do not accept a change, you may close your account before it takes effect. If you keep using the Service after that date, the new Terms apply to you.

Other changes, such as corrections and clarifications, take effect when we publish them. The date at the top of this page shows the current version.

4. Who may use Quantumine

You must be at least 18 years old and able to enter into a binding contract.

You may not use the Service if you are in, or ordinarily live in, a country or region under comprehensive sanctions, if you are named on a sanctions list, or if using the Service is unlawful where you are.

You are responsible for following the laws that apply to you, including rules on trading, digital assets and tax. You are also responsible for meeting each exchange's own eligibility rules and terms. An exchange may refuse users from places where we do not.

5. Your account and security

You need an account to use the Service. Give us accurate information and keep it up to date.

Keep your password safe, and do not share your account. You are responsible for activity under your account, unless it results from our failure to keep our own systems secure.

To protect your account, the Service may ask a new device for a code sent to your email address, and end sessions that have not been used for a while.

If you think someone else has used your account, tell us at once at support@quantumine.net.

6. The Service

The Service is software. It helps you view market data, build and test trading strategies, and send orders to exchange accounts that you control.

We are not your broker, exchange, bank or custodian. We never hold your money or your digital assets. Your funds stay in your own accounts at the exchanges you choose.

We do not give investment, financial, legal or tax advice. Nothing in the Service — including market data, indicators, backtest results and AI output — is a recommendation to buy or sell anything. Your trading decisions are your own.

The pages of quantumine.net that describe our own trading are information only. They are not an offer, an invitation to invest, or advice. Our Disclaimer says more.

7. Your exchange accounts and API keys

Your exchange accounts belong to you. Each exchange's own terms govern your relationship with it.

When you connect an exchange account, you authorise the Service to send the requests you make, such as placing, changing and cancelling orders, and reading your balances, positions and orders.

In the desktop app, your API keys are stored in your computer's own credential store. They are not sent to us.

In the web app, the key for each connection is created in your browser or, where the exchange issues the key itself, entered there by you. It is kept in your browser, on your device. It is not sent to us, and we cannot recover it. Your browser signs each request and sends it straight to the exchange; none of our servers is in between.

A connection in the web app works only in the browser where you made it; another browser or device needs its own. Anyone who can use your unlocked browser can use the keys in it, so keep your device secure and remove the connections on a device you stop using. Clearing your browser's site data deletes the keys kept there.

Give each key only the permissions you need, and never allow withdrawals. Where an exchange lets the Service read a key's permissions, the Service refuses a key for real funds that allows withdrawals. Not every exchange does, so check the key's permissions yourself.

You can revoke a key at the exchange at any time. Removing a connection deletes the key from your device, but it does not revoke the key at the exchange; you do that at the exchange.

Exchanges can reject orders, change their rules, pause trading or go offline. We are not responsible for what an exchange does or fails to do.

8. Risk of loss

Trading digital assets, derivatives and other financial products carries a high risk of loss. Prices can move very fast. You can lose all the money in your trading accounts, and with leverage you can lose more than you put in where the exchange allows it.

The Service does not limit the size of your orders, your positions or your losses. Every trading decision, and its result, is yours.

We do not guarantee that an order will be sent, filled, changed or cancelled, or the price it gets. Delays, outages, network problems, exchange errors, wrong market data and software defects can happen. Sometimes the outcome of an order is not known at once; check your exchange account before you send it again.

Watch your open orders and positions. If the Service is unavailable, manage them directly at the exchange.

9. Bots, strategies and automation

The Service lets you run strategies and bots that place orders automatically. Running a strategy is your decision, whether you wrote it, imported it or had an AI feature write it.

Once started, automation places orders without asking you again. You are responsible for its settings, its code and every order it places. Test it, watch it, and stop it when it does not behave as you expect.

The desktop app runs your bots on your own computer. If the computer sleeps, loses power or loses its connection, a bot may stop, and its orders already at the exchange stay there.

10. Backtests and simulated results

Backtests, paper trading and other simulations use historical or simulated data and models of fees, fills and funding. They cannot capture every real market condition.

Simulated results are not a prediction or a promise. Past performance does not guarantee future results.

11. AI features

Some features use artificial intelligence. When you use them, you are interacting with an AI system, not a person.

AI output can be wrong, incomplete or out of date, and it can sound confident when it is wrong. Check it before you rely on it or act on it. AI output is not investment advice.

To answer you, the Service sends your prompts, and the information included with them, to third-party AI model providers. That information can include market data, balances, positions and orders. The Privacy Policy explains what they receive.

An AI feature may suggest or prepare an action, such as an order. You decide whether to approve it. You are responsible for the actions you approve and for any automation you let an AI feature run.

AI use may count against an allowance in your plan.

If you connect an AI tool or account of your own, its provider's terms apply to that use, and you pay any fees it charges.

Do not use AI features to create content that is unlawful, harmful or infringes anyone's rights.

12. Your content

The strategies, indicators, workspaces, journals, watchlists and other material you create or add ("Your Content") belong to you.

Most of Your Content stays on your device. Where the Service stores Your Content for you, such as watchlists, preferences, custom indicators and backtests in the web app, you allow us to host, copy and process it only to provide the Service to you.

You are responsible for Your Content and for having the right to use it.

If you send us feedback or ideas, we may use them freely and without any obligation to you.

13. Our software and your licence

The Service, including its software, design and documentation, belongs to us or our licensors. These Terms do not transfer any of it to you.

As long as you follow these Terms, we give you a personal, limited, non-exclusive, non-transferable and revocable licence to use the Service for your own trading and research, within the limits of your plan.

Some parts of the Service are open-source software under their own licences. Where such a licence differs from this section, it governs that part.

Data packages you buy and install stay readable in the app after your plan ends.

14. Acceptable use

You agree not to:

  • break the law, or any exchange's terms, through the Service;
  • manipulate a market, for example by spoofing, layering, wash trading or front-running;
  • copy, sell, rent or share the Service or your account without our written permission;
  • reverse engineer, decompile or modify the Service, or get around its licence or security checks, except where the law allows it despite this restriction;
  • attack, overload or disrupt the Service, or test its security without our written permission;
  • access the Service by automated means other than the features and interfaces we provide;
  • upload malware, or use the Service to harm others;
  • use the Service to evade sanctions.

15. Third-party services

The Service works with services we do not control, such as exchanges, trading platforms, market data sources, sign-in providers and AI tools. Their own terms and privacy policies apply to your use of them. We are not responsible for those services, their availability or their content.

16. Plans, payments and refunds

Paid plans are not on sale yet. When they are, the price, the billing period, the renewal terms and what the plan includes will be shown before you pay, and they apply to your purchase.

Unless the checkout says otherwise, a paid plan renews at the end of each billing period until you cancel it. You can cancel at any time, and the plan stays active until the end of the period you have paid for.

You can ask for a full refund within 14 days of buying an annual plan, or within 7 days of buying a monthly plan. Other purchases are refundable as stated at checkout. This does not limit any refund right the law gives you.

Taxes may apply, as shown at checkout. We may change prices for future billing periods, and we will tell you before a new price applies to you.

If your plan ends or changes, the features of the higher plan stop. The Service does not delete Your Content from your device because of it.

17. Beta features and changes

The Service is under active development. Some features are offered as beta or preview versions; they may change or be removed, and they may be less reliable.

We may add, change or remove features. Where a change significantly affects you, we will try to tell you in advance.

18. Suspension and termination

You can stop using the Service at any time. To close your account, email support@quantumine.net from the address on the account.

We may suspend or limit your access, or close your account, if you break these Terms, if your use creates a security or legal risk, if the law requires it, or if we stop providing the Service. Where it is reasonable, we will tell you first and give the reason.

No server of ours stands between the app and your exchange. We cannot place, change or cancel an order for you, and we cannot pause trading on your exchange account. If the Service is suspended, closed or unavailable, your open orders and positions stay at the exchange, and you manage them there.

When your account is closed, your licence to use the Service ends. The sections on risk, disclaimers, limitation of liability and indemnity, and any others that by their nature should continue, stay in effect.

19. Disclaimers

To the extent the law allows, the Service is provided "as is" and "as available". We do not promise that it will be uninterrupted, error-free or secure, that market data will be accurate or complete, or that the Service will meet your needs or produce any result.

Nothing in these Terms excludes a guarantee or right that the law gives you as a consumer and does not allow to be excluded.

20. Limitation of liability

To the extent the law allows, we are not liable for any indirect, incidental, special or consequential loss, or for any loss of profit, trading loss, loss of data or loss of opportunity, arising out of or related to the Service.

To the extent the law allows, our total liability to you for all claims arising out of or related to the Service is limited to the greater of (a) the fees you paid us in the 12 months before the claim arose, and (b) USD 100.

These limits do not apply to liability for fraud, wilful misconduct or gross negligence, for death or personal injury caused by negligence, or to any other liability that the law does not allow us to limit or exclude.

21. Indemnity

To the extent the law allows, you will compensate us for the claims, losses and reasonable costs, including legal fees, that arise from a third-party claim caused by your breach of these Terms, your breach of the law or of an exchange's terms, or Your Content. This does not apply to the extent we caused the loss.

22. General

If you have a problem with the Service, please contact us first at support@quantumine.net. We will try to resolve it with you within 30 days.

If you are a consumer, you keep the protection of the mandatory laws of the country where you live.

These Terms, the Privacy Policy and any terms shown at checkout are the whole agreement between you and us about the Service.

If a court finds any part of these Terms unenforceable, the rest stays in effect. If we do not enforce a right, we have not given it up.

You may not transfer your rights under these Terms without our consent. We may transfer ours to an organisation that takes over the Service, provided your rights under these Terms are not reduced.

We are not responsible for a delay or failure caused by events beyond our reasonable control.

We may send you notices by email to the address on your account, or in the Service.
